Terms of sale

Apply to all sales from IMV Label Nordic AS to business customers.

This is an English translation of our Norwegian terms of sale. In case of any discrepancy, the Norwegian version prevails.

These terms apply to all deliveries of labels, cardboard boxes and packaging, printed matter, promotional products and related services from IMV Label Nordic AS (org. no. 934 382 951) to business customers in Norway, unless otherwise agreed in writing. By placing an order, the customer accepts these terms.

We mainly produce at our own printing plant in Riga, Latvia, which is also our distribution centre. Some production takes place in Hull, England. These terms therefore cover transport from the place of production to the customer in Norway.

The customer's own purchasing terms apply only if IMV Label has accepted them in writing.

1. Quotes and agreement

1.1 Quotes are valid until the end of the calendar year in which they are issued, unless the quote states otherwise.

1.2 An agreement is concluded when IMV Label has sent a written order confirmation. The order confirmation specifies the product, material, quantity, price and expected delivery week.

1.3 The customer must check the order confirmation and report any discrepancies within 2 working days. Otherwise, the order confirmation applies as agreed.

1.4 Changes or cancellations after proof approval cannot be made free of charge. The customer covers costs already incurred for materials, tooling and production.

2. Prices

2.1 All prices are in Norwegian kroner (NOK), excluding VAT. VAT is added to the invoice.

2.2 Prices include import into Norway. IMV Label acts as importer and handles customs clearance, so the customer receives a standard Norwegian invoice.

2.3 Shipping from the place of production to the customer's address is not included and is invoiced at actual cost.

2.4 Our production costs are in euros. If the EUR/NOK exchange rate changes by more than 3% between the quote date and the order confirmation, the price may be adjusted accordingly. After the order confirmation, the price is fixed.

2.5 New cutting dies, printing plates and similar one-off costs are invoiced separately where stated in the quote.

2.6 Extra work caused by incomplete print files, changes after approval or additional proof rounds is invoiced based on time spent.

3. Print files, proofs and approval

3.1 The customer supplies print-ready files according to our technical specifications, normally high-resolution PDF with bleed and outlined fonts.

3.2 Before production, we send a digital proof. The customer is responsible for checking text, barcodes, dimensions, colours and positioning.

3.3 Production starts only when the proof has been approved in writing. Errors in an approved proof are the customer's responsibility.

3.4 Colours on screen and in digital proofs are indicative. Minor colour deviations must be expected, especially between different materials and production runs. The customer may order a physical print proof for a fee.

4. Production and delivery time

4.1 Normal delivery time is 2–3 weeks from proof approval to delivery at the customer. The delivery time in the order confirmation applies.

4.2 The delivery time assumes that print files, approval and any prepayment are received as agreed. Delays on the customer's side postpone delivery accordingly.

4.3 We will notify the customer as soon as possible if a delivery is delayed, stating the reason and the new expected date.

4.4 Public holidays and holiday periods in Latvia or Norway, especially Christmas, Easter and summer, may extend the delivery time. This will be stated in the order confirmation.

5. Shipping and delivery from Latvia

5.1 Goods are shipped from our distribution centre in Riga with a partner freight forwarder to the customer's delivery address in Norway. Urgent shipments in Eastern Norway can be delivered by courier from our warehouse in Oslo.

5.2 The delivery term is DAP customer's address (Incoterms 2020), with shipping invoiced at actual cost. Risk passes to the customer when the goods are delivered at the agreed address.

5.3 The customer ensures that someone can receive the goods during normal working hours. Extra costs for failed delivery, redelivery or storage are invoiced to the customer.

5.4 The customer may collect goods from our warehouse at Sandstuveien 12, 1178 Oslo, by appointment.

5.5 Partial deliveries may occur for large orders and are invoiced as they are delivered.

6. Over- and under-delivery

6.1 For printed products such as labels, boxes and printed matter, the delivered quantity may deviate by up to ±10% from the ordered quantity. The customer pays for the quantity actually delivered.

6.2 If the customer needs an exact quantity, this must be agreed in writing before the order confirmation. This may involve a price supplement.

7. Defects and complaints

7.1 The customer must inspect the goods on receipt. Visible transport damage and missing packages must be noted on the consignment note and reported to us within 2 working days, with photos.

7.2 Other defects must be reported in writing within 14 days of receipt. The complaint should describe the defect and preferably include photos and a sample of the product.

7.3 The following are not considered defects:

  • errors approved by the customer in the proof
  • minor colour deviations from the proof or previous production
  • quantity deviations within ±10%
  • errors caused by the customer's files, materials or application equipment
  • incorrect use, storage or application of the products

7.4 In the case of a justified complaint, we decide whether the goods will be reproduced, rectified or credited. Goods must not be returned without prior agreement.

7.5 The customer should test the labels on their own applicator and surface before using the entire batch.

8. Payment

8.1 Payment terms are 30 days net from the invoice date, unless otherwise agreed.

8.2 Late payment interest is charged in accordance with the Norwegian Late Payment Interest Act, in addition to reminder and debt collection fees.

8.3 For new customers, large orders or in the event of non-payment, we may require prepayment or part-payment before production.

8.4 The goods remain the property of IMV Label Nordic AS until paid in full, to the extent permitted by law.

8.5 If the customer has overdue debt, we may withhold new deliveries until the matter is settled.

9. Liability

9.1 Our total liability is limited to the invoiced amount excluding VAT for the order in question.

9.2 We are not liable for indirect losses, such as loss of profit, production stoppages, disposal of the customer's products or third-party claims.

9.3 The customer is responsible for ensuring that the content on the product complies with applicable labelling requirements, for example for food, chemicals and cosmetics.

10. Copyright and materials

10.1 The customer warrants that they have the right to use any text, logos and images sent for printing, and indemnifies IMV Label against third-party claims.

10.2 Designs, sketches and files created by IMV Label belong to IMV Label until otherwise agreed and paid for.

10.3 Cutting dies and printing plates paid for by the customer are stored at the manufacturer and used only for the customer's orders. Tooling not used for 24 months may be discarded after notice.

11. Cardboard boxes, printed matter and promotional products

The sections above also apply to these products, with the following additions.

Cardboard boxes and packaging

11.1 Dimensions are stated as internal dimensions in millimetres, unless otherwise agreed. The customer is responsible for ensuring the dimensions fit the product.

11.2 For new box designs, we recommend an unprinted sample (blank dummy) before production. The approved sample forms the basis for the delivery.

11.3 Corrugated board and cartonboard can be affected by humidity and temperature. Boxes must be stored dry and flat, and we are not liable for damage caused by incorrect storage.

Printed matter

11.4 Uncoated and coloured paper produces different colours than the proof shows. Colour matching with the proof is guaranteed only on coated paper.

11.5 Folding, stapling and other finishing may cause minor deviations in dimensions and positioning.

Promotional products

11.6 Promotional products are often made by specialised subcontractors. Minimum quantities, delivery times and quantity deviations may therefore differ from those for labels, and are stated in the quote.

11.7 Colours on textiles, metal, glass and plastic may deviate from Pantone and from the proof. Minor variations in the colour, position and size of the logo are not considered defects.

11.8 Promotional products with the customer's logo are custom-made and cannot be returned or cancelled after proof approval.

11.9 The customer is responsible for using the products in accordance with the manufacturer's instructions, for example regarding washing and food contact.

12. Sustainability and FSC

IMV Label is FSC-certified. FSC labelling on products is applied only by agreement and requires FSC-certified material for the order in question.

13. Subcontractors

We may use our own production units and subcontractors in Latvia, England and other countries. We are liable to the customer as if we had performed the work ourselves.

14. Force majeure

14.1 Neither party is liable for delay or non-performance caused by circumstances beyond its control which it could not reasonably foresee or avoid. Examples include strikes, war, natural disasters, pandemics, sanctions and government restrictions, border closures, cyberattacks, power outages, serious disruption to transport or ferry services, shortage of raw materials and similar events at subcontractors.

14.2 The affected party must notify the other party in writing without undue delay, stating the cause and expected duration. The same applies when the circumstance ends.

14.3 If the circumstance lasts for more than 60 days, either party may cancel the order in writing. Costs already incurred are covered by the customer.

15. Confidentiality

Enquiries, files and order information are treated confidentially and shared only with production and carriers to the extent necessary for the delivery.

16. Governing law and disputes

16.1 The agreement is governed by Norwegian law.

16.2 Disputes shall first be sought resolved through negotiation. If this fails, the dispute shall be settled by Oslo District Court (Oslo tingrett).
